1. Acceptance of Terms

By accessing or using the Dopple Health, Inc. ("Dopple," "we," "us," or "our") website at dopplehealth.com or any of our related services, software, or platform (collectively, the "Services"), you agree to be bound by these Terms & Conditions ("Terms"). If you do not agree to these Terms, please do not use our Services.

These Terms apply to all visitors, users, and others who access or use the Services, including healthcare providers, organizations, and individuals who join our waitlist.

2. Description of Services

Dopple provides a digital twin platform designed to support personalized metabolic care. Our Services are intended for use by qualified healthcare providers and organizations. The platform is currently in development; access is limited to waitlist participants and authorized partners.

Dopple does not provide medical advice, diagnosis, or treatment. The platform is a clinical decision support tool and does not replace the professional judgment of a licensed healthcare provider.

3. Eligibility

You must be at least 18 years of age to use our Services. By using the Services, you represent and warrant that you meet this requirement and that you have the legal authority to enter into these Terms on behalf of yourself or any organization you represent.

Healthcare providers and organizations using the platform must hold all applicable licenses, certifications, and authorizations required by applicable law.

4. Waitlist & Early Access

Joining our waitlist does not guarantee access to the platform or any specific features. Dopple reserves the right to grant or deny access at its sole discretion. We may contact you at the email address you provide to share updates, request feedback, or offer early access opportunities.

You may unsubscribe from waitlist communications at any time by following the unsubscribe link in any email or by contacting us directly.

5. Intellectual Property

All content, features, and functionality of the Services — including but not limited to text, graphics, logos, software, algorithms, and data models — are the exclusive property of Dopple or its licensors and are protected by applicable intellectual property laws.

You may not copy, modify, distribute, sell, or lease any part of our Services or included software, nor may you reverse engineer or attempt to extract the source code of that software, unless you have our written permission or applicable law permits you to do so.

6. User Conduct

You agree not to use the Services to:

  • Violate any applicable law, regulation, or professional standard
  • Transmit any unauthorized or unsolicited advertising or promotional material
  • Impersonate any person or entity or misrepresent your affiliation with any person or entity
  • Interfere with or disrupt the integrity or performance of the Services
  • Attempt to gain unauthorized access to any part of the Services or its related systems
  • Use the Services in any manner that could harm patients or compromise patient safety

7. Healthcare Compliance

If you are a covered entity or business associate as defined under the Health Insurance Portability and Accountability Act (HIPAA), you agree to execute a Business Associate Agreement (BAA) with Dopple before transmitting any Protected Health Information (PHI) through the Services.

You are solely responsible for ensuring your use of the Services complies with all applicable healthcare laws and regulations, including but not limited to HIPAA, state privacy laws, and applicable clinical standards of care.

8. Disclaimers

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

DOPPLE DOES NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF HARMFUL COMPONENTS. YOUR USE OF THE SERVICES IS AT YOUR SOLE RISK.

9. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, DOPPLE AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICES, EVEN IF DOPPLE HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

IN NO EVENT SHALL DOPPLE'S TOTAL LIABILITY TO YOU EXCEED THE GREATER OF ONE HUNDRED DOLLARS ($100) OR THE AMOUNTS PAID BY YOU TO DOPPLE IN THE TWELVE MONTHS PRECEDING THE CLAIM.

10. Indemnification

You agree to indemnify, defend, and hold harmless Dopple and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or in any way connected with your access to or use of the Services, your violation of these Terms, or your violation of any applicable law or the rights of any third party.

11. Modifications to Terms

We reserve the right to modify these Terms at any time. We will notify you of material changes by posting the updated Terms on this page with a revised effective date. Your continued use of the Services after any such changes constitutes your acceptance of the new Terms.

12. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, without regard to its conflict of law provisions. Any disputes arising under these Terms shall be subject to the exclusive jurisdiction of the state and federal courts located in Delaware.
